CIMOS^™ private evaluation platform

These Terms of Service ("Terms") govern access to and use of the CIMOS^™ websites, applications, evaluation environments, communications, and related services identified above (collectively, the "Services"). In these Terms, "CIMOS^™," "we," "us," and "our" mean SlipRing, LLC.

By requesting access, creating or using an account, or otherwise using the Services, you agree to these Terms and the CIMOS^™ Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

Additional written terms may apply to a specific evaluation, professional role, research collaboration, pilot, or communication program. If additional terms conflict with these Terms, the additional terms control for that specific activity.

The Services are presently offered as a private evaluation. Access is personal, invitation-only, revocable, and limited to the role approved for your account. Accounts may not be shared or transferred.

You must be at least 18 years old, currently reside in the United States, and be legally capable of entering into these Terms. During the initial beta, CIMOS^™ accepts real patient accounts only from U.S. residents aged 18 or older; access from other countries is not yet available, and no date for it is promised. When you request access, you confirm that you meet these requirements. The Services are not directed to children. If CIMOS^™ later supports minors, guardian consent and child-specific terms must be adopted before that use begins.

Submitting an access request does not guarantee approval. We may approve, deny, limit, suspend, or revoke access to protect users, the evaluation, the Services, or legal and security obligations.

The current Services are an early demonstration intended to be explored with fictional, synthetic, or example information. Unless CIMOS^™ expressly provides a separate written authorization and updated privacy terms, you must not submit real medical records, diagnoses, treatment information, insurance information, legal information, government identifiers, credentials, confidential information, or other information that identifies a real person.

You may use the Services only to evaluate approved CIMOS^™ workflows, provide product feedback, and perform activities permitted for your assigned role. Planned, described, or previewed functionality is not a promise that a feature is available, complete, accurate, or suitable for reliance.

CIMOS^™ is not a health care provider, medical practice, health plan, pharmacy, laboratory, emergency service, or substitute for licensed professional care. The Services do not diagnose, treat, cure, mitigate, or prevent any disease or condition and do not establish a clinician-patient relationship.

Information presented by the Services, including AI-generated summaries, questions, timelines, alerts, research material, treatment tables, or suggested next steps, is for general informational and product-evaluation purposes only. Do not use it to make medical decisions. Always seek advice from an appropriately qualified health professional regarding medical questions.

The Services are not monitored for emergencies. If you believe you are experiencing a medical emergency, call 911 or the applicable local emergency number and seek immediate care.

Some features may use third-party artificial intelligence services to generate informational content from inputs provided to the feature. AI output may be incomplete, inaccurate, outdated, biased, misleading, or unsupported. Sources may be missing or may not support the generated statement.

Treat all AI output as untrusted until independently verified. Do not rely on AI output as medical advice, a diagnosis, a treatment recommendation, a clinical-trial eligibility determination, or a factual change to a medical record. Where the Services provide a review or approval step, you are responsible for reviewing the complete underlying material before approving or sharing anything.

Research alerts, article summaries, clinician questions, and relevance explanations are discovery aids only. They do not constitute an endorsement, a determination of scientific validity, or a recommendation to participate in research or pursue a treatment.

You are responsible for maintaining the confidentiality of your credentials, using reasonable security practices, and promptly notifying us of suspected unauthorized access. You must use only your own approved account and role.

You must not attempt to access another person's account or data, bypass access controls, probe nonpublic systems, interfere with security testing, or retain access after authorization ends. Role labels and hidden interface controls do not expand your permission.

Contact privacy@slipring.ai promptly if you suspect that an account, credential, or information handled by the Services has been compromised.

As between you and CIMOS^™, you retain ownership of content you are authorized to submit ("User Content"). You grant CIMOS^™ a limited, nonexclusive, worldwide license to host, process, reproduce, display, transmit, and otherwise use User Content only as reasonably necessary to provide, secure, test, support, and improve the Services in accordance with the Privacy Policy and any applicable evaluation terms.

You represent that you have all rights and permissions needed to submit User Content and authorize its processing. You must not submit another person's information, likeness, name, contact information, records, or confidential material without valid authorization.

Product feedback may be used without restriction or compensation to improve CIMOS^™, provided that this does not authorize CIMOS^™ to publicly identify you or disclose protected User Content.

Any professional or researcher role in CIMOS^™ is an access and attribution role within an evaluation. It does not verify licensure, credentials, expertise, institutional affiliation, endorsement, or fitness to provide care unless CIMOS^™ expressly states that a specific verification has been completed.

Invitations, sharing, expert review, annotations, research discovery, or collaboration features do not create a clinician-patient relationship, research-subject relationship, fiduciary duty, agency relationship, or institutional endorsement. Professionals remain responsible for their own legal, ethical, licensing, research, and professional obligations.

Users must not treat CIMOS^™ as the system of record for clinical care, emergency communication, mandatory reporting, research consent, or regulated documentation unless a separate written agreement expressly authorizes that use.

You may not use the Services to violate law or another person's rights; provide unauthorized medical, legal, or insurance advice; impersonate another person; submit malicious code; scrape or reverse engineer the Services except where law expressly permits; overload or disrupt the Services; defeat rate limits; send spam; conduct unauthorized research; or develop, train, or benchmark another model using nonpublic CIMOS^™ content without written permission.

You may not use the Services to make high-impact decisions about another person, including decisions concerning health care, insurance, employment, credit, housing, education, or legal rights.

Testing must use synthetic information unless CIMOS^™ provides separate written authorization for a bounded test. Security research requires prior written permission and compliance with the approved scope.

The CIMOS^™ Privacy Policy explains how the Services handle information and is incorporated into these Terms. If these Terms conflict with the Privacy Policy about collection, use, or disclosure of personal information, the Privacy Policy controls for that issue.

CIMOS^™ is not currently represented as a HIPAA covered entity or business associate. Information submitted to a consumer health application may not be protected by HIPAA. Do not assume that HIPAA applies merely because information relates to health.

Other privacy, consumer-protection, security, or breach-notification laws may apply even when HIPAA does not. Nothing in these Terms limits rights that cannot legally be waived.

The Services may depend on third parties for hosting, databases, authentication, email, analytics, messaging, artificial intelligence, and other functions. Third-party services may have their own terms and privacy practices. CIMOS^™ is not responsible for third-party sites or services that it does not control.

Links to articles, studies, clinical trials, institutions, professionals, or other resources are provided for convenience and discovery. A link does not imply endorsement, verification, affiliation, availability, or accuracy.

The Services are experimental and may contain errors, incomplete features, delays, interruptions, data loss, or material changes. We may add, remove, limit, rename, or discontinue features at any time. We do not promise that planned functionality will be released.

We may perform maintenance, impose usage limits, or suspend a feature to protect security, cost, reliability, legal compliance, or user safety. We do not guarantee uninterrupted, timely, secure, or error-free operation.

Except for User Content and third-party material, the Services and their software, design, text, graphics, trademarks, and other content are owned by CIMOS^™ or its licensors and are protected by applicable law.

Subject to these Terms, CIMOS^™ grants you a limited, revocable, nonexclusive, nontransferable right to use the Services solely for the authorized evaluation. No right is granted to use CIMOS^™, SlipRing, associated marks, or logos except as displayed within the Services.

You may stop using the Services at any time. We may suspend or terminate access immediately if we reasonably believe you violated these Terms, exceeded authorized scope, created legal or security risk, threatened another person, or compromised the Services.

On termination, your right to use the Services ends. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnity, dispute terms, and accrued obligations. Account deletion and retention are governed by the Privacy Policy and applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CIMOS^™ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICES WILL MEET YOUR NEEDS.

CIMOS^™ DOES NOT WARRANT AI OUTPUT, RESEARCH INFORMATION, PROFESSIONAL INFORMATION, USER CONTENT, THIRD-PARTY CONTENT, OR ANY RESULT OBTAINED THROUGH THE SERVICES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIMOS^™ AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR USE, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

If you use the Services on behalf of an organization or for professional or commercial purposes, then, to the extent permitted by law, you agree to defend, indemnify, and hold harmless CIMOS^™ and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your User Content, misuse of the Services, violation of these Terms, or violation of another person's rights. This Section does not apply to an individual using the Services solely as a consumer evaluator.

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. The state courts located in Worcester County, Massachusetts, and the United States District Court for the District of Massachusetts will have exclusive jurisdiction, unless applicable law requires otherwise.

We may update these Terms as the Services, law, or our practices change. We will post the updated Terms with a revised effective date and provide additional notice when required. Material changes will apply prospectively unless law permits otherwise.

Your continued use after updated Terms take effect constitutes acceptance where permitted by law. If you do not agree to an update, stop using the Services.

You consent to receive service-related electronic communications, such as access, security, and account notices, at the contact information associated with your account, subject to applicable law and your available choices.

These Terms, the Privacy Policy, and applicable additional written terms are the entire agreement concerning the Services and supersede prior discussions on that subject. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. A waiver must be in writing and is not a continuing waiver.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, reorganization, sale of assets, or operation of the Services, subject to applicable law. Headings are for convenience only.

Team Review is not currently available for purchase. The following terms apply when the service becomes available; the current invitation-only evaluation and permitted-information restrictions above remain in effect.

Required AI assistance and human review

CIMOS^™ Team Review combines AI assistance with human review. AI assistance is a required part of the service, and an authorized human reviewer approves the response provided to you. You must authorize the disclosed AI processing before purchasing or requesting a Team Review. AI and human review can be incomplete or incorrect; Team Review is informational and does not provide medical care, diagnosis, treatment, or a substitute for advice from your licensed health care professional.

Cancellation and refunds

Where a paid Team Review is offered, its fee is non-refundable if you cancel or ask us to stop work, even if work has not begun, except where a refund is required by law.

Requests to stop work

You may ask CIMOS^™ support to stop work on your review. We will stop further review processing and notify the assigned reviewers. Through CIMOS^™ messaging, we will provide any completed review material available at that point, identified as incomplete where appropriate. If no review material has been completed, we will tell you. Stopping work does not itself entitle you to a refund except where required by law, and does not limit your applicable privacy rights.

Optional product improvement

Permission to process your information for your requested Team Review is separate from permission to use it to improve CIMOS^™ for other users. Declining optional improvement use does not disqualify you from Team Review. Any improvement use is subject to the Privacy Policy, the choices available in your account, and applicable law.
